This Privacy Statement (the "Statement") is an attachment to and a part of the User Agreement, and governs the Quadrem’s collection and use of information that Quadrem may collect or that you may provide to Quadrem through the Marketplace.
What Data Quadrem Collects: Depending upon Your use of the Marketplace, Quadrem may request, or automatically collect, certain information from you (the "Collected Data"). Collected Data is comprised of the following categories:
- "Visitor Data" is the general, technical information that is collected automatically by Quadrem every time You visit the Marketplace, whether or not You have registered with Quadrem. This information includes without limitation Your IP Address, referring web page, date and time of Your visit, and what parts of Quadrem’s site that you viewed.
- "Registration Data" is the information that You give to Quadrem about You when You register to become a participant in the Marketplace, update Your account or terminate Your registration.
- "Transaction Data" is information that You provide to Quadrem concerning specific transactions conducted by You through the Marketplace.
- "Aggregated Data" is aggregate and statistical information Quadrem may assemble, combine and review related to the use and users of the Marketplace from among the Visitor Data, the Registration Data and/or the Transaction Data in an Anonymous form. "Anonymous" means that neither You nor any of Your transactions on the Marketplace are identifiable, directly or via reconstruction, filtering, interpolation, extrapolation or any other means.
Quadrem may use cookies to recognize you when you return to the Marketplace in order to provide You with a better user experience. You may choose to block cookies, but if You do, You may not be able to take full advantage of the features and functions of the Marketplace. Quadrem’s collection, storage and use of Registration Data and Transaction Data is subject to strict conditions which are set out in the section below titled "Restrictions on Disclosure of the Registration and Transaction Data" below. If You do not wish to disclose any Registration Data or Transaction Data, do not register or conduct transactions on the Marketplace.
How Quadrem Use the Collected Data: Quadrem may use Collected Data only for purposes consistent with the provisions of this Privacy Statement. Subject to the restrictions described below on the disclosure of Registration Data and Transaction Data to third parties, Quadrem may use such data for enhancing the operation, functionality, content, appearance and capabilities of the Marketplace; providing additional services through the Marketplace; sending informational and promotional materials to You about Quadrem and about third parties with whom the Marketplace may conduct business; and understanding the industry profiles of the suppliers and buyers that may make use of the Marketplace and the products and services those Suppliers and Buyers might offer through the Marketplace. Quadrem may use Visitor Data and Aggregated Data for enhancing the operation, functionality, content, appearance and capabilities of the Marketplace; providing additional services through the Marketplace; in support of Quadrem’s sales and marketing efforts; providing summary or statistical information to third parties about the Marketplace; understanding the industry profiles of the Suppliers and Buyers that may make use of the Marketplace and the products and services those Suppliers and Buyers might offer through the Marketplace. Any service providers or other third parties that Quadrem engage to process Collected Data will be obligated to honour the terms of this Statement to keep any such data strictly confidential, and to use adequate security measures as set forth in this Privacy Statement.
Restrictions on Disclosure of Registration and Transaction Data: Quadrem may not disclose Registration Data or Transaction Data to third parties without Your express authority, except to:
- those parties with whom You conduct transactions through the Marketplace, but only to the extent that Registration Data and/or Transaction Data elements are directly related to such transactions (subject to obtaining appropriate prior assurances of confidentiality); or
- a judicial or other governmental authority if applicable law requires such disclosure, or to defend against claims that may result in Quadrem’s liability (subject to making reasonable efforts to obtain appropriate assurances of confidentiality); or
- a service or technology provider to provide and maintain technical operation of the Marketplace, protect the integrity and security of Quadrem’s site or correct technical problems or malfunctions in its operation (subject to obtaining appropriate prior assurances of confidentiality); or
- Quadrem’s independent accountants, lawyers and other professional advisors and representatives to advise Quadrem in the management and operation of Quadrem’s business and the Marketplace (subject to obtaining appropriate prior assurances of confidentiality).
Security Measures: Quadrem implements data security measures to protect the loss, misuse and alteration of the Collected Data, and (taking into account antitrust, competition and trade practices laws) in Quadrem’s distribution or sharing of Transaction Data to Marketplace participants. Such measures ensure a level of protection appropriate for the risks and the type of data processed, within the context of applicable law (including antitrust, trade practices and competition laws), technical state of the art, and the costs of such measures. While Quadrem strives to protect the Collected Data, no data transmission over the Internet can be guaranteed to be 100% secure. As a consequence, Quadrem cannot guarantee or warrant the complete accuracy and security of the Collected Data.
Bulletin Boards: Information You may disclose in any on-line forum, such as a bulletin board, is not "Collected Data" and therefore is not subject to the use and disclosure restrictions; however Your use of the Bulletin Board is subject to the terms of the User Agreement.
Third-Party Links: The Marketplace contains links to web sites operated and maintained by third parties over which Quadrem has no control. Any information You provide to third-party web sites will be governed under the terms of each such web site's privacy statement, and Quadrem encourages You to investigate and/or ask questions before disclosing any information to the operators of such third-party web sites. Quadrem is not responsible for the security or privacy of information You disclose to third party websites.
International Data Transfers: The servers hosting the Marketplace are located in The Netherlands. An ancillary instance of the Marketplace’s servers is located in South Africa, for the exclusive benefit of Quadrem’s African-based users of the Marketplace. The Servers processing1 Registration Data are located in The Netherlands. Copies of Your Registration Data may be exported from The Netherlands to Quadrem Group members in the United States of America, Costa Rica, Canada, South Africa, Chile, Brazil, France, Peru, Singapore, Australia ("Ancillary Counties"). Quadrem may extend the list of Ancillary Countries. Similarly, copies of Your Transaction Data, and Aggregated Data, may be exported by Quadrem to Quadrem Group members in those Ancillary Countries. However, no Collected Data (or copies) will be exported from those Ancillary Countries, other than to Quadrem Group members within those Ancillary Countries. The Marketplace’s servers, and all other servers within Quadrem Group which processes Collected Data, are owned and/or controlled exclusively by Quadrem. To the fullest extent permitted by applicable law, You consent to the transfer of Your Collected Data to such servers for the purpose of Quadrem’s processing of such data as is, or maybe, relevant to Your access to and use of the Marketplace within the terms of this Statement and that consent extends to any associated personal data2 ("Personal Data"). Any service providers or other third parties that Quadrem engages to process Collected Data are obligated to Quadrem to honour the terms of this Statement and to otherwise keep any such data confidential and to use adequate security measures as set forth in this Statement. Quadrem will notify You by Marketplace announcement as to any material change to the location of the Marketplace’s data servers. You may also make enquiry of Quadrem as to the location/locations of Your Collected Data.
Right of Access: Details as to how to modify or delete Your Registration Data, or any Personal Data can be obtained by sending an email to quadremsolve@quadrem.com. Your modification or deletion requests of Your Registration Data will be effective upon entry, but shall not affect any historical or archival Registration Data or Transaction Data collected by Quadrem.
